By accessing or using Tru-Stock AI ("the Service"), operated by Blu Distribution LLC, a Delaware limited liability company ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization. If you do not agree to these Terms, do not access or use the Service.
Tru-Stock AI is a cloud-based inventory management platform that uses artificial intelligence and machine learning to provide demand forecasting, reorder point optimization, vendor intelligence, dead stock identification, stockout risk monitoring, and related analytics for distributors, wholesalers, and warehouse operators. The Service is provided on a subscription basis as described in Section 10.
The Service is a decision-support tool. All outputs including forecasts, reorder suggestions, risk assessments, and vendor recommendations are advisory in nature and are not guaranteed to be accurate, complete, or suitable for any particular purpose. The Service is not a substitute for professional judgment, and all purchasing and inventory decisions remain solely your responsibility.
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service. The Service is intended for business use. By using the Service, you represent and warrant that you meet these eligibility requirements and that your use of the Service complies with all applicable laws and regulations in your jurisdiction.
To access the Service, you must create an account with accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorized by you. You must immediately notify us at support@tru-stock.ai of any unauthorized use of your account or any other breach of security.
We reserve the right to suspend or terminate any account that we reasonably believe has been compromised, is being used in violation of these Terms, or is being used fraudulently.
Each subscription tier includes a specified number of user seats: Starter (up to 3 users), Pro (up to 10 users), and Enterprise (unlimited users). User seats are for named individuals within your organization and may not be shared, transferred, or used by individuals outside your organization. You are responsible for the actions of all users on your account. Adding users beyond your tier limit requires upgrading your subscription.
Tru-Stock AI uses machine learning algorithms, statistical models, and third-party AI services (including OpenAI) to analyze your data and generate outputs. You acknowledge and agree that:
Ownership. You retain all ownership rights to the data you upload, input, or otherwise provide to the Service ("Your Data"). We do not claim ownership of Your Data.
License. By using the Service, you grant us a limited, non-exclusive, worldwide license to use, process, store, and display Your Data solely for the purpose of providing and improving the Service. This license terminates when you delete Your Data or close your account.
Data Isolation. Your Data is logically isolated from other customers using row-level security policies. We do not share, sell, or provide Your Data to other customers or third parties, except as necessary to provide the Service (e.g., cloud hosting and AI processing providers) or as required by law.
Data Accuracy. You are solely responsible for the accuracy, quality, legality, and appropriateness of Your Data. We are not responsible for any losses or damages resulting from inaccurate or incomplete data.
Data Retention. Upon account termination, we will retain Your Data for 30 days to allow for export. After this period, Your Data will be permanently deleted from our systems. We are not responsible for any data that is not exported prior to deletion.
Third-Party Processing. Your Data may be processed by third-party services including but not limited to Supabase (database hosting), Vercel (application hosting), and OpenAI (AI processing). These providers are bound by their own privacy policies and data processing agreements. By using the Service, you consent to this processing.
You agree not to use the Service to:
We reserve the right to suspend or terminate your account for any violation of this Section without notice or refund.
The Service, including all software, algorithms, models, designs, text, graphics, logos, and documentation, is the exclusive property of Blu Distribution LLC and is protected by copyright, trademark, trade secret, and other intellectual property laws. These Terms do not grant you any ownership interest in the Service, only a limited right to use it in accordance with these Terms.
The Tru-Stock AI name, logo, and all related names, logos, and product names are trademarks of Blu Distribution LLC. You may not use these marks without our prior written permission.
Plans. The Service is offered in four tiers: Starter ($140/month + per-SKU), Professional ($349/month), Growth ($899/month), and Enterprise (custom pricing). Each tier includes specified limits on SKUs, locations, and user seats as published on our pricing page. Starter, Professional, and Growth plans have no setup fees. Enterprise plans include custom onboarding.
Billing. Subscriptions are billed monthly in advance. Payment is due at the time of billing. We use third-party payment processors and do not store your full credit card information on our servers.
Free Trial. We may offer a free trial period. At the end of the trial, your subscription will begin and you will be billed unless you cancel before the trial ends. We reserve the right to modify or discontinue free trials at any time.
Cancellation. You may cancel your subscription at any time. Upon cancellation, your access will continue through the end of the current billing period. No refunds or credits are provided for partial months, unused time, or any reason unless required by applicable law.
Price Changes. We may change our pricing at any time. We will provide at least 30 days notice of any price increase. Continued use after a price change constitutes acceptance of the new pricing.
Non-Payment. If payment fails, we may suspend your account after providing 7 days notice. If payment is not resolved within 30 days of suspension, we may terminate your account and delete Your Data in accordance with Section 7.
We strive for high availability but do not guarantee uninterrupted, error-free, or secure access to the Service. The Service may be temporarily unavailable due to scheduled maintenance, updates, emergency repairs, or factors beyond our control including but not limited to internet service provider failures, third-party service outages, and force majeure events.
We reserve the right to modify, update, or discontinue any feature or functionality of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuance of the Service or any part thereof.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE; (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (E) THE SERVICE WILL BE COMPATIBLE WITH YOUR SYSTEMS OR DATA.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BLU DISTRIBUTION LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE LESSER OF: (A) THE TOTAL AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE THOUSAND DOLLARS ($1,000).
THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some jurisdictions do not allow the limitation of liability for certain damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Blu Distribution LLC, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your reliance on any AI-generated recommendation or output; (e) any data you upload or provide to the Service; or (f) your infringement of any third-party rights.
Informal Resolution. Before filing any formal dispute, you agree to first contact us at support@tru-stock.ai and attempt to resolve the dispute informally for at least 30 days.
Binding Arbitration. If the dispute cannot be resolved informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive your right to participate in a class action lawsuit or class-wide arbitration against Blu Distribution LLC.
Small Claims Exception. Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to: violation of these Terms, non-payment, fraudulent activity, or conduct that we reasonably believe is harmful to other users, us, or third parties.
Upon termination: (a) your right to use the Service ceases immediately; (b) you remain liable for all charges incurred prior to termination; (c) Sections 6, 7, 9, 12, 13, 14, 15, and 18 survive termination; and (d) Your Data will be handled in accordance with Section 7.
We reserve the right to modify these Terms at any time. We will notify active subscribers of material changes via email at least 15 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Subject to the arbitration provisions in Section 15, any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of such courts.
Your use of the Service is also governed by our Privacy Policy, available at tru-stock.ai/privacy. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.
The Service integrates with and relies on third-party services including but not limited to OpenAI (AI processing), Supabase (database and authentication), Vercel (hosting), and payment processors. We are not responsible for the availability, accuracy, or reliability of any third-party service. Your use of these third-party services is subject to their respective terms and privacy policies. We are not liable for any loss or damage caused by third-party service failures, outages, or changes.
You agree to comply with all applicable export control laws and regulations of the United States and any other relevant jurisdiction. You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to U.S. trade sanctions.
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including but not limited to natural disasters, acts of war or terrorism, epidemics, pandemics, government actions, power failures, internet disruptions, or third-party service provider failures.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
These Terms, together with the Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and Blu Distribution LLC regarding your use of the Service. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and us regarding the Service.
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Blu Distribution LLC.
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction. These Terms are binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
